2. Dropshipping Disclaimer and Order Fulfillment

2.1 Dropshipping Model: Shopandbuy operates on a dropshipping model. We are an intermediary facilitating transactions between you, the customer, and our third-party supplier, Roposo. 2.2 Fulfillment: The products listed on the Site are physically stocked, packaged, and shipped directly from our supplier's (Roposo's) warehouses. We do not hold inventory ourselves. 2.3 Reliance on Supplier: While we strive for accuracy, the availability, quality, shipping times, and pricing of products are largely dependent on our supplier, Roposo. We reserve the right to cancel any order if the supplier is unable to fulfill it.

3. Products, Availability, and Accuracy

3.1 Product Information: We attempt to be as accurate as possible with product descriptions, pricing, and availability. However, we do not warrant that product descriptions or other content of the Service are completely accurate, complete, reliable, current, or error-free. 3.2 Pricing: All prices are subject to change without notice. We are not liable to you or to any third-party for any modification, price change, suspension, or discontinuance of the Service or products. 3.3 Cancellation: If a product is listed at an incorrect price due to a typographical error or error in pricing information received from our supplier, we shall have the right to refuse or cancel any orders placed for the product listed at the incorrect price, whether or not the order has been confirmed and your payment processed. If your payment has already been processed, we will issue a refund.

4. Order Process and Payment

4.1 Order Acceptance: Your order submission constitutes an offer to purchase a product. All orders are subject to acceptance by us and our supplier (Roposo). We will send you an email confirmation when we accept your order. 4.2 Payment: We accept various forms of payment. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service. 4.3 Taxes: You are responsible for any applicable government taxes, customs duties, or levies imposed on your purchase.

5. Shipping and Delivery

5.1 Shipping Policy: Shipping and delivery are governed by our separate Shipping Policy, which is incorporated by reference into these Terms. 5.2 Estimated Times: Delivery times provided are estimates only. Since fulfillment is managed by Roposo and their logistics partners, we are not responsible for delays caused by the courier service, customs clearance, or other unforeseen logistics issues. 5.3 Risk of Loss: The risk of loss and title for all items purchased from the Service pass to you upon our delivery to the carrier (i.e., when Roposo's partner picks up the package).

6. Returns and Refunds

6.1 Returns Policy: Returns and refunds are governed by our separate Returns & Refunds Policy, which is incorporated by reference into these Terms. 6.2 Compliance: You agree to adhere strictly to the procedures and timelines outlined in the Returns & Refunds Policy, as any deviation may prevent us from successfully processing your request with our supplier, Roposo.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Shopandbuy and its licensors (including Roposo for product content). Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Shopandbuy.

8. Limitation of Liability

In no event shall Shopandbuy, nor its directors, employees, partners, agents, suppliers (including Roposo), or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Indemnification

You agree to defend, indemnify, and hold harmless Shopandbuy and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of courts in Balurghat, West Bengal, India.
